Contract 14.2.1192.1: On December 30, 2014, a financing line of R$1,000,293 was contracted, with rates of: (i) Long-Term Interest Rate ("TJLP”) + 0 to 3.12% p.a; (ii) 4% p.a; (iii) Selic + 2.32% p.a, with total term of eight years, with a grace period ending on January 15, 2018. At each annual shareholders meeting, the board of directors is required to suggest the allocation of net profits obtained during the preceding fiscal year. Under Brazilian Corporate Law, we are required to maintain a legal reserve, to which 5% of our net profits must be allocated for each fiscal year, until the reserve amounts to 20% of our paid-in capital. Net losses, if any, shall be deducted from accumulated profits, profit reserves and legal reserve, in this order.

In connection with the above-mentioned policies, the Company is currently conducting an internal investigation – which is part of a broader investigation being conducted by the controlling shareholder of the Company (Telefónica, S.A.) – regarding possible violations of the above-mentioned laws and regulations. The Company is in contact with governmental authorities about this matter and intends to cooperate with those authorities as the investigation continues. It is not possible at this time to predict the scope or duration of this matter or its likely outcome.

The Company and its subsidiaries evaluate the recoverability of deferred tax assets based on estimates of future profits. This recoverability ultimately depends on the ability to generate taxable profits over the period in which the deferred tax asset is deductible. The analysis considers the reversal period of deferred tax liabilities, as well as estimates of taxable profits, based on updated internal projections reflecting the latest trends.

International long-distance call charges are computed based on the time of day, the day of the week, duration and destination of the call, and may also vary depending on whether special services are used or not, including operator assistance. Our rates for international services are not subject to regulation and are not required to follow the annual rate adjustment described above for other services. We are free to negotiate our fees for international calls based on the international telecommunications market, to which our main competitor is Embratel.

Started in the wake of MacCaig’s death in 2008, The Image You Missed is composed of archival footage shot by MacCaig and finds Foreman exploring a variety of connections in their relationship—or, rather, the lack of one. It’s another reunion, though, between Salvador and Federico (Leonardo Sbaraglia), an ex-lover he hasn’t seen since the ‘80s, that finds Almodóvar delivering on the heightened promise of the film’s title. The men are brought back together through an absurd coincidence, after Federico wanders into the performance of Salvador’s play and recognizes that his life has been incorporated into the monologue, but the scene thrums with that distinctly magnetic force of love that’s fundamental to Almodóvar’s best work. Also, the actual moment of Salvador and Federico’s reunion is a gracefully staged dance of advance and retreat, beginning with a late-night conversation at Salvador’s apartment that never leaves the common area. Finally, after an intense kiss, Federico departs, and though he invites Salvador to come visit him and his family, both men seem to implicitly realize that they’ll never see each other again.

Despite its impersonal character work, Gareth Edwards’s Godzilla shrewdly used its humans to help ground the film in a recognizable reality. Its images of creatures towering over and smashing through skyscrapers emphasized their godlike nature. That film’s haunting majesty is evident in spots throughout Godzilla: King of the Monsters, but Michael Dougherty’s sequel is closer in spirit to the films in the Godzilla series that immediately followed Ishiro Honda’s original. Here, the atmosphere of existential terror that pervaded Edwards’s film is largely replaced by a more crowd-pleasing emphasis on action as a smorgasbord of monsters collide with the giant lizard in a series of epic battles.
